Our License Agreement...
1 - SCOPE: For the term of this agreement, Entré Computer Services will provide corrective service, to include both parts and labor, necessitated by the malfunction of the equipment listed, subject to the terms, conditions, limitations, and exclusions stipulated herein.
2 - TERM OF SERVICE AGREEMENT: The term of this agreement shall commence with the date of this agreement and shall terminate 365 days from the date of this agreement. Hours of coverage are Monday through Friday, 8am to 5pm, except for holidays (normal business hours) unless stipulated.
3 - PLACE OF SERVICE: Service defined herein will be performed at the customers address. Any movement of listed equipment from the listed address without notification of Entré Computer Services will invalidate this agreement.
4 - UNREPAIRABLE EQUIPMENT: If the equipment listed on the agreement is deemed unrepairable by Entré Computer Services, said equipment will either be replaced with like equipment (age and capability), or cost of service coverage for that unit will be refunded to the customer on a pro-rated basis.
5 - HIRING ENTRÉ TECHNICAL STAFF: If, during the life of this contract or for a period of one year following the expiration of this contract, you hire an Entré technician or Service Department employee you will pay Entré Computer Services an amount equal to 30% of the employee's current annual wage. This fee fairly represents recruitment and training Entré has invested in its technical staff.
6 - LIMITATION OF REMEDY: Entré computer services shall not be liable for any damages caused by delay in furnishing maintenance services or other performance under this agreement. The sole and exclusive remedy for any breach of warranty, express or implied, including without limitation any warranty of merchantability or fitness, and the sloe remedy for Entrée's liability of any kind including performance by Entré under or pursuant to this agreement shall be limited to the re-performance of any defective services provided by Entré and shall in no event include any incidental or consequential damages.
7 - TERMS: Payment must be received on agreed schedule to make sure service is not interrupted. Block time agreements are due in full once block time hours available reaches zero.
8 - CANCELLATION: This agreement may be cancelled by either party for just and reasonable causes with a 30 day written notice. If Entré cancels the agreement a full credit for prorated time remaining will be forwarded to the customer, assuming the contract has been paid in full. If the customer cancels the agreement, the credit issues will be 80% of the prorated time left on the contract, assuming the contract has been paid in full.
9 - NOTICES: All notices and other communications hereunder, other then notice of equipment malfunction, shall be in writing, addressed to the parties at agreed locations.
10 - ENTIRE AGREEMENT: This Agreement represents and expresses the entire agreement and understanding between the parties with reference to the subject matter hereof. There is no other understanding, agreement, representation, or warranty, expressed or implied, statutory or otherwise, in any way limiting, extending ,defining, or relation to the provisions hereof. This agreement may not be modified except by duly executed on behalf of both parties involved.
11 - EXCLUSIONS: The following are excluded from coverage under this contract:
A. Repair of damage or malfunction of listed equipment from abuse, accident, neglect, fire, water, lightning, or other acts of nature, unauthorized product modification, or failure to follow instructions supplied with the product.
B. Failure of the product due to other then normal usage, including but not limited to operator error, failure of other equipment, software anomalies, and equipment operation in excess of design or environmental specifications is excluded from service under this agreement.
C. Repair or replacement of magnetic accessories, such as disk packs, drums, and tapes or of expendable/consumable item such as batteries, printer ribbons, print heads, toner, maintenance kits, or paper are excluded from service.
D. Repair of plastics used for casing, paper path, or environmental protection are excluded from service under this contract.
E. Repair or attempted repair by anyone not authorized by Entré.
F. Any damage of product due to shipment.
G. Removal or installation of product.
H. Causes external to the product, such as electric power fluctuations or failure.
I. Use of parts or supplies not meeting manufacturer's specifications.
J. Abnormal wear and tear.
K. Any labor require to transfer program or data files from one hard drive to another.
L. Any shipping costs related to sending the product back to the manufacturer for repair.
M. Any other cause which does not relate to a product defect.
N. Any add-on options or accessories not listed in the master equipment list are not covered.
